Terms of Service

1. About Us

Elevates AI is operated by 12128179 Canada Inc., a corporation incorporated under the laws of Canada, based in Montréal, Québec. These Terms are governed by the laws of the Province of Québec and the laws of Canada applicable therein.

2. Products and Services

Elevates AI offers the following products and services:

All prices are in Canadian dollars (CAD). Applicable taxes (GST/QST) will be added at checkout where required by law.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract to purchase or use our products and services. By making a purchase, you represent that you meet these requirements.

Our products and services are intended for business owners, founders, and professionals. They are not consumer products for personal, family, or household use.

4. Purchases and Payment

All purchases are processed securely through Stripe. By completing a purchase, you authorize us to charge the applicable price plus applicable taxes to your selected payment method.

Digital Products (Context Layer)

Upon successful payment, you will receive access to the digital product(s) purchased. Delivery is electronic — no physical product is shipped.

Membership (Community)

Community membership is a recurring subscription billed monthly ($97 CAD/month) or annually ($970 CAD/year). Your subscription will renew automatically at the end of each billing period unless cancelled. You may cancel at any time — see Section 6 (Cancellation & Refunds).

Service Engagements (The Install / Full Build)

Pricing, payment schedules, and specific deliverables for The Install and Full Build are set out in a separate written agreement provided prior to the commencement of work. These Terms apply in addition to any such agreement.

Promo Codes

Promotional codes are subject to the specific terms communicated at the time of distribution. Codes are non-transferable, may not be combined unless expressly stated, and may not be applied retroactively to completed purchases.

5. Taxes

Prices are shown exclusive of applicable taxes unless otherwise stated. Goods and Services Tax (GST) and Québec Sales Tax (QST) will be added to applicable transactions as required by Canadian and Québec tax law. You are responsible for any taxes applicable in your jurisdiction beyond what we are required to collect.

6. Cancellation & Refunds

Digital Products (Context Layer, Framework)

Due to the immediate digital delivery of these products, all sales are final. We do not offer refunds on digital product purchases once access has been granted. If you experience a technical issue preventing access, contact us at hello@elevatesaios.com and we will work to resolve it promptly.

Community Membership

You may cancel your Community membership at any time. Cancellation takes effect at the end of the current billing period — you will retain access through the date already paid for. No partial-month or partial-year refunds are issued.

The Install / Full Build

Cancellation and refund terms for service engagements are set out in the individual written agreement for your project. In the absence of a specific agreement, a 50% deposit is non-refundable once work has commenced.

Exceptions

Nothing in these Terms limits or excludes any rights you may have under applicable consumer protection laws in your province of residence. If you are located in Québec, your rights under the Consumer Protection Act (where applicable) are not affected by these Terms.

7. Intellectual Property

All content, frameworks, templates, prompts, course materials, and other resources provided through Elevates AI products and services are the intellectual property of 12128179 Canada Inc., unless otherwise noted.

Your purchase grants you a personal, non-exclusive, non-transferable license to use the materials for your own business purposes. You may not:

• Resell, redistribute, or sublicense any Elevates AI materials
• Share login credentials, course access, or downloadable assets with others who have not purchased
• Reproduce or publish any Elevates AI materials publicly without prior written permission
• Use our materials to create competing products or services

The EAIOS Framework, Context Layer, VALVE Framework references, and all associated branding are proprietary to 12128179 Canada Inc.

8. Acceptable Use

By using our platform and community, you agree not to:

• Use our products or community to harass, spam, or harm others
• Share, reproduce, or resell course materials or resources outside of your permitted personal use
• Circumvent or attempt to bypass any access controls or payment systems
• Post content in our community that is unlawful, offensive, defamatory, or violates the rights of others
• Attempt to gain unauthorized access to our systems or other users' accounts

We reserve the right to suspend or terminate access for violations of these terms without refund.

9. Third-Party Tools and AI Services

Elevates AI products are designed to be used with third-party AI tools, including Anthropic's Claude. Your use of those tools is governed by their respective terms of service and privacy policies. We are not affiliated with Anthropic and make no guarantees regarding the availability, functionality, or outputs of any third-party AI service.

Results from implementing the EAIOS system depend on many factors including your engagement, your business context, and the capabilities of third-party AI tools. We do not guarantee specific outcomes.

10. Disclaimer of Warranties

Our products and services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that our services will be uninterrupted, error-free, or that any specific business results will be achieved by using our products.

Nothing in our marketing materials, course content, or communications constitutes a guarantee of financial results, revenue, or business outcomes.

11. Limitation of Liability

To the maximum extent permitted by applicable law, 12128179 Canada Inc. and its directors, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our products or services, even if advised of the possibility of such damages.

Our total liability to you for any claim arising from these Terms or your use of our products shall not exceed the total amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless 12128179 Canada Inc. and its directors, employees, and contractors from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.

13. Partner Program

Sales and referral partners participate in the Elevates AI partner program under separate written agreements that govern commission structures, attribution, and payment terms. These Terms apply in addition to any partner agreement. Commission payments are made in Canadian dollars and subject to applicable tax reporting requirements.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Québec and the laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or our products and services shall first be attempted to be resolved through good-faith negotiation. If unresolved after 30 days, disputes shall be submitted to the courts of competent jurisdiction in Montréal, Québec, which shall have exclusive jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page. For significant changes affecting existing paid customers, we will provide reasonable notice by email. Continued use of our services after changes take effect constitutes your acceptance of the revised Terms.

16. Entire Agreement

These Terms, together with our Privacy Policy and any separate written agreements for service engagements, constitute the entire agreement between you and 12128179 Canada Inc. regarding your use of our products and services. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
